Channel Partner Terms & Policy

These Channel Partner Terms & Policy ("Terms") govern your participation in the Shoppeez Channel Partner Program. By registering or acting as a Channel Partner, you agree to be bound by these Terms in addition to our general Terms & Conditions and Privacy Policy.

1. Eligibility & Onboarding

• • You must provide accurate business, contact, and tax details during registration.
• • Shoppeez reserves the right to approve, reject, or revoke partner status at its discretion.
• • You are responsible for keeping your profile (contact details, GSTIN, bank details, etc.) up to date.

2. Role of Channel Partner

• • You act as an independent contractor and not as an employee, agent, or legal representative of Shoppeez.
• • You may promote, demonstrate, and refer eligible businesses to Shoppeez solutions.
• • You must not make any commitments or warranties on behalf of Shoppeez that are not explicitly documented by us.

3. Commission & Payout Terms

• • Commission eligibility, rate, and structure will be communicated by Shoppeez and may be updated from time to time.
• • Commission is calculated on eligible subscription fees and invoices successfully realized by Shoppeez from customers referred or managed by you, after adjustments for discounts, credits, cancellations, and refunds.
• • Payouts are processed on a monthly basis and are generally released within 30 (thirty) calendar days from the end of the respective month, subject to reconciliation.
• • A minimum payable commission threshold may apply; unpaid amounts below this threshold will be carried forward.
• • All payouts are subject to applicable taxes (including TDS and GST). You are responsible for providing valid tax and banking details to enable compliant payouts.

4. Conduct & Use of Brand

• • You agree to promote Shoppeez in a fair, honest, and professional manner.
• • Any use of Shoppeez logos, trademarks, or marketing material must follow the branding guidelines shared by Shoppeez and must not be misleading.
• • You must not run paid ads, campaigns, or promotions that impersonate Shoppeez or compete with our official channels without prior written consent.

5. Data Protection & Confidentiality

• • Any customer or prospect information shared with you is confidential and may only be used for the purpose of promoting Shoppeez services.
• • You must comply with applicable data protection and privacy laws when handling such information.
• • These obligations survive the termination of your Channel Partner relationship with Shoppeez.

6. Term, Suspension & Termination

• • Your participation continues until terminated by either party with or without cause, by written notice or email.
• • Shoppeez may suspend or terminate your account immediately in cases of suspected fraud, misuse, misrepresentation, or material breach of these Terms.
• • Upon termination, pending eligible commissions may be settled after necessary verifications and adjustments, at the sole discretion of Shoppeez.

7. Changes to Program & Terms

• • Shoppeez may modify, pause, or discontinue the Channel Partner Program or update these Terms at any time.
• • Continued participation in the program after such changes will constitute your acceptance of the updated Terms.
